Back to PachuWelcome to Pachu (the “Application,” “Platform,” “Services,” “Pachu,” “we,” “us,” or “our”). These Terms of Service (the “Terms”) govern your access to and use of the Services owned and operated by Pachu.
By creating an account, accessing, browsing, submitting content to, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, together with any other policies or guidelines referenced in these Terms, including our Privacy Policy, Community Guidelines, and any additional terms that may apply to specific features.
If you do not agree to these Terms, you must not access or use the Services.
These Terms are intended to govern the use of the Services. They do not replace our Privacy Policy, which separately governs the collection, use, storage, sharing, and protection of personal data.
1. Acceptance of Terms and Eligibility
1.1 Acceptance
By accessing or using the Services, you agree to these Terms and represent that you are legally able to enter into a binding agreement.
1.2 Minimum Age
The Services are intended only for users who are at least 16 years old. You may not create an account or use the Services if you are under the age of 16.
If we become aware that a person under the age of 16 has created an account or used the Services, we may suspend or delete the account and take any additional action we deem appropriate.
1.3 Compliance With Law
You agree to use the Services only in accordance with these Terms and all applicable local, national, and international laws, rules, and regulations.
1.4 No Use on Behalf of Others Without Authority
You may not create an account, submit content, make representations, or take any action on behalf of another person, business, restaurant, venue, entity, or organization unless you have full legal authority to do so.
2. The Nature of the Services
2.1 Social Recommendation Platform
Pachu is a digital platform that allows users to discover restaurants, venues, culinary experiences, and related recommendations based on user-generated content, social signals, preferences, ratings, and other available information.
2.2 No Ownership or Operation of Venues
Pachu does not own, operate, inspect, manage, supervise, endorse, certify, or control any restaurant, venue, business, establishment, event, product, dish, service, menu, employee, supplier, or third-party experience displayed, mentioned, recommended, reviewed, or linked through the Services.
2.3 Informational Use Only
All information, recommendations, ratings, rankings, venue details, maps, links, and other materials made available through the Services are provided for general informational and convenience purposes only. They are not professional advice, health advice, dietary advice, safety advice, financial advice, legal advice, or any other form of advice on which you should exclusively rely.
2.4 No Guarantee of Experience
Pachu does not guarantee that any venue, restaurant, dish, menu item, recommendation, rating, review, or experience will meet your expectations, preferences, dietary needs, budget, schedule, safety requirements, accessibility needs, or any other personal requirement.
3. User Accounts and Security
3.1 Account Registration
To use certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep your account information updated.
3.2 Account Responsibility
You are solely responsible for maintaining the confidentiality and security of your login credentials and for all activities that occur under your account, whether or not authorized by you.
3.3 Unauthorized Access
You must notify us immediately if you suspect unauthorized access to your account, misuse of your account, or any other security breach.
3.4 Account Suspension and Termination
We reserve the right, at our sole discretion and without liability, to suspend, restrict, disable, delete, or terminate your account or access to the Services, with or without notice, if we believe that:
you violated these Terms or any applicable policy;
you violated applicable law;
your conduct may expose Pachu, other users, venues, businesses, or third parties to harm, liability, legal risk, reputational damage, or security risk;
your account is being used fraudulently, abusively, or unlawfully;
your content or behavior is harmful, misleading, abusive, defamatory, infringing, or otherwise inappropriate; or
we are required to do so by law, court order, regulator, platform provider, or other competent authority.
We are not required to provide a reason for suspension or termination, except where required by applicable law.
4. User Content, Reviews, Ratings, and Experiences
4.1 User Content
The Services may allow users to submit, upload, post, publish, display, transmit, or otherwise make available reviews, ratings, photos, videos, comments, descriptions, tags, preferences, recommendations, lists, profile information, and other materials (collectively, “User Content”).
4.2 Subjective Nature of User Content
You acknowledge and agree that User Content reflects the personal, subjective views, opinions, preferences, tastes, and experiences of the users who submit it. User Content does not represent the views, opinions, endorsements, recommendations, guarantees, or statements of Pachu.
4.3 No Verification of User Content
Pachu does not undertake to verify, audit, investigate, fact-check, monitor, or guarantee the accuracy, truthfulness, completeness, lawfulness, reliability, or quality of User Content. We may, but are not obligated to, review, moderate, remove, restrict, label, demote, or edit User Content.
4.4 No Liability for User Content
To the maximum extent permitted by applicable law, Pachu is not responsible or liable for any User Content, including any User Content that is negative, critical, unfavorable, inaccurate, misleading, offensive, defamatory, infringing, unlawful, or otherwise objectionable.
4.5 User Responsibility for User Content
You are solely responsible for your User Content and for any consequences arising from posting, publishing, sharing, or making it available through the Services.
You represent and warrant that:
you own or have all necessary rights, licenses, permissions, consents, and authority to submit your User Content;
your User Content does not violate any law, regulation, contractual obligation, or third-party right;
your User Content does not infringe intellectual property rights, privacy rights, publicity rights, moral rights, confidentiality rights, or any other rights of any person or entity;
any identifiable person appearing in your User Content has consented to the upload and use of such User Content in connection with the Services;
your User Content is not false, misleading, fraudulent, defamatory, malicious, harassing, threatening, hateful, obscene, sexually explicit, violent, or otherwise unlawful;
your User Content does not contain viruses, malware, spyware, tracking code, or other harmful code; and
your User Content complies with these Terms and any applicable Community Guidelines.
4.6 No Confidentiality
User Content submitted to public or social areas of the Services should be considered non-confidential and non-proprietary. You should not upload or share any information that you consider confidential, private, sensitive, or commercially valuable unless you are willing for it to be used and displayed in accordance with these Terms and the functionality of the Services.
5. License to User Content
5.1 Ownership
As between you and Pachu, you retain ownership of the intellectual property rights you hold in your User Content.
5.2 Operational License
By submitting, posting, uploading, or otherwise making User Content available through the Services, you grant Pachu a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to host, store, reproduce, display, publish, distribute, transmit, adapt, modify, format, translate, analyze, index, rank, recommend, promote, and otherwise use your User Content as reasonably necessary to operate, provide, maintain, secure, improve, develop, personalize, and support the Services.
5.3 Public Display and Social Features
You acknowledge that User Content may be displayed to other users, associated with venues or recommendations, included in social feeds, shown on profiles, used in ranking or recommendation systems, or otherwise made available through the ordinary functionality of the Services.
5.4 Marketing and Promotional Use
To the extent permitted by applicable law, Pachu may use User Content that you make publicly available on the Services for limited promotional purposes related to Pachu, including in screenshots, app previews, social media posts, product pages, investor materials, press materials, and marketing materials, provided that such use is connected to the promotion or explanation of the Services.
Where required by applicable law or where the User Content prominently features an identifiable individual in a manner that goes beyond ordinary display of the Services, Pachu may seek additional consent before using such User Content in paid advertising campaigns or prominent marketing materials.
5.5 Duration of License
The license granted above continues for as long as your User Content remains available on or through the Services, and for a reasonable period thereafter as necessary for backup, archival, legal, security, dispute-resolution, or technical purposes, subject to applicable law and our Privacy Policy.
5.6 Removal of User Content
We may remove, restrict, anonymize, disable access to, or modify the display of any User Content at any time, for any reason, without notice or liability, including if we believe that the User Content violates these Terms, applicable law, third-party rights, platform rules, or our policies, or may expose Pachu or others to legal, reputational, security, or operational risk.
Removal of User Content from public display does not guarantee immediate deletion from backups, caches, logs, technical systems, third-party systems, or places where other users may have copied, saved, screenshotted, or shared it.
6. Prohibited Content and Conduct
You agree that you will not, and will not encourage or assist others to:
6.1 Prohibited User Content
Upload, post, submit, transmit, or otherwise make available any User Content that:
is false, misleading, deceptive, fraudulent, or fabricated;
is defamatory, libelous, slanderous, or constitutes trade libel or unlawful disparagement;
infringes or violates any intellectual property, privacy, publicity, moral, contractual, confidentiality, or other right;
contains hate speech, discrimination, harassment, threats, intimidation, bullying, bigotry, or abusive content;
contains sexually explicit, pornographic, exploitative, graphic, violent, or otherwise inappropriate content;
includes private or sensitive information about another person without lawful authority;
impersonates another person, business, venue, or entity;
falsely suggests affiliation, endorsement, sponsorship, or approval by Pachu or any third party;
promotes illegal conduct, unsafe conduct, or harmful conduct;
constitutes spam, unauthorized advertising, promotional manipulation, fake engagement, or commercial solicitation;
contains malware, viruses, harmful code, or security vulnerabilities;
violates any applicable law, regulation, court order, or third-party obligation; or
otherwise violates these Terms or our applicable guidelines.
6.2 Prohibited Conduct
You must not:
use the Services for any unlawful, fraudulent, abusive, harassing, harmful, or deceptive purpose;
interfere with, disrupt, overload, damage, impair, or compromise the Services or related systems;
attempt to gain unauthorized access to any account, system, database, network, source code, model, API, or infrastructure;
use bots, scrapers, crawlers, spiders, automated tools, extraction tools, or similar technologies to access, collect, copy, index, harvest, train on, or scrape the Services or any data made available through the Services;
reverse engineer, decompile, disassemble, copy, modify, adapt, or create derivative works of the Services or any part of them, except where expressly permitted by applicable law;
bypass, disable, manipulate, or interfere with any security, access-control, ranking, recommendation, moderation, rate-limiting, or usage-control mechanism;
manipulate reviews, ratings, rankings, recommendations, popularity signals, social signals, search results, or user engagement metrics;
post fake reviews, paid reviews, incentivized reviews, undisclosed commercial reviews, or reviews based on experiences you did not actually have;
use the Services to harm, threaten, defame, harass, stalk, impersonate, or exploit another person, business, venue, or entity;
use another user’s account without permission;
create multiple accounts to evade restrictions, manipulate the Services, or circumvent enforcement;
sell, rent, lease, sublicense, transfer, or commercially exploit access to the Services without our written permission;
use the Services to develop, train, improve, or benchmark a competing product, model, service, dataset, or recommendation system without our prior written consent; or
encourage or assist any person to do any of the above.
7. Venue Information, Third-Party Data, and Real-World Risks
7.1 Venue Information May Be Inaccurate
The Services may display information about restaurants, venues, businesses, menus, dishes, prices, operating hours, addresses, locations, availability, reservation options, delivery options, dietary indicators, accessibility features, photos, descriptions, popularity, ratings, and other details.
Such information may be obtained from users, venues, third-party services, public sources, APIs, maps, business listings, or other sources. Pachu does not guarantee that such information is accurate, complete, current, reliable, lawful, or suitable for your needs.
7.2 User Must Independently Verify
You are solely responsible for independently verifying any important information directly with the relevant venue, restaurant, business, service provider, or official source before relying on it, visiting a venue, making a reservation, placing an order, making a purchase, traveling to a location, consuming food, or taking any other action.
This includes, without limitation, verifying operating hours, prices, menus, ingredients, allergens, kosher status, dietary suitability, accessibility, availability, reservation requirements, location, payment terms, cancellation terms, and safety-related information.
7.3 Real-World Risks
You acknowledge and agree that real-world experiences involve risks that are outside Pachu’s control. To the maximum extent permitted by applicable law, Pachu disclaims all responsibility and liability for any harm, loss, injury, illness, allergic reaction, food poisoning, dissatisfaction, poor service, financial loss, emotional distress, physical injury, property damage, accessibility issue, safety incident, dispute, or other damage arising out of or related to your interaction with any restaurant, venue, business, user, third party, or real-world location mentioned, reviewed, recommended, displayed, or linked through the Services.
7.4 No Endorsement
The appearance, ranking, rating, recommendation, listing, map placement, review, or mention of any venue, restaurant, business, dish, menu item, service, or third party on the Services does not constitute an endorsement, certification, warranty, guarantee, or approval by Pachu.
8. Recommendations, Rankings, Personalization, and AI-Assisted Features
8.1 Algorithmic and Subjective Nature of Recommendations
The Services may provide recommendations, rankings, search results, personalized suggestions, compatibility scores, taste-based matches, social recommendations, summaries, tags, filters, or other outputs generated through automated systems, algorithms, user data, social signals, third-party data, artificial intelligence, machine learning, language models, or other technologies.
These outputs are inherently probabilistic, subjective, incomplete, and dependent on available data. They may be inaccurate, outdated, biased, incomplete, irrelevant, offensive, unsuitable, or otherwise not aligned with your expectations or needs.
8.2 No Guarantee of Accuracy or Suitability
Pachu does not guarantee that any recommendation, ranking, rating, search result, compatibility score, “taste fit,” “occasion fit,” “best match,” or similar output is accurate, objective, complete, safe, available, fair, unbiased, or suitable for you or for any specific purpose.
8.3 User Responsibility
You are solely responsible for exercising independent judgment before relying on any recommendation, ranking, search result, or AI-assisted output. You should not rely on the Services as your sole source of information when making decisions involving health, allergies, safety, money, travel, dietary restrictions, accessibility, or any other important matter.
8.4 Changes to Rankings and Recommendations
We may modify, test, personalize, reorder, promote, demote, hide, remove, or otherwise change how venues, content, users, recommendations, rankings, or search results appear at any time, without notice or liability. No user, venue, business, or third party has any right to any particular ranking, placement, visibility, score, recommendation, exposure, or presentation within the Services.
8.5 No Duty to Explain Individual Outputs
Except where required by applicable law, Pachu has no obligation to explain why a specific recommendation, ranking, score, result, review, user, venue, or item was displayed, hidden, promoted, demoted, removed, or not shown.
9. Businesses, Restaurants, Venues, and Third-Party Listings
9.1 Listings May Be Created Without Business Participation
The Services may include pages, listings, information, reviews, ratings, recommendations, photos, or other content relating to restaurants, venues, businesses, or third parties, whether or not such businesses have created an account, claimed a page, authorized the listing, or participated in the Services.
9.2 No Right to Listing, Ranking, or Removal
No business, restaurant, venue, or third party has a legal or contractual right to be listed, ranked, recommended, displayed, promoted, removed, edited, or presented in any particular way on the Services, except where required by applicable law.
9.3 Corrections and Reports
If a business, venue, rights holder, or third party believes that information displayed on the Services is inaccurate, unlawful, infringing, defamatory, misleading, or otherwise improper, it may contact us using the notice process described in these Terms. We may review and take action at our discretion.
9.4 No Responsibility for Business Outcomes
Pachu is not responsible for any loss of revenue, loss of customers, reputational harm, reduced visibility, negative reviews, low ratings, ranking changes, business interruption, or other commercial harm allegedly suffered by any restaurant, venue, business, or third party as a result of use of, display on, absence from, or interaction with the Services, to the maximum extent permitted by applicable law.
10. Moderation, Notice, Takedown, and Enforcement
10.1 Right to Moderate
We may, but are not obligated to, monitor, review, screen, moderate, remove, disable access to, restrict, label, edit, demote, or refuse to display any User Content, account, venue listing, recommendation, review, rating, comment, photo, or other material at any time, with or without notice, for any reason, including if we believe it violates these Terms, our policies, applicable law, third-party rights, platform rules, or may expose Pachu or others to harm or liability.
10.2 Reporting Content
If you believe that any content or conduct on the Services is unlawful, infringing, defamatory, abusive, misleading, harmful, or otherwise violates these Terms, you may report it to us at:

A notice should include, where available:
your full name and contact information;
the specific URL, screenshot, venue page, user profile, or location of the content;
a clear explanation of the alleged violation;
any supporting evidence or documentation;
a statement that the information you provide is accurate; and
any additional information reasonably necessary for us to assess the report.
10.3 Review of Notices
We may review notices and take action within a reasonable timeframe, at our sole discretion and subject to applicable law. Possible actions may include no action, requesting more information, restricting content, removing content, suspending an account, terminating an account, contacting the user who posted the content, or taking other appropriate measures.
10.4 No Obligation to Remove Content Solely Upon Demand
Submitting a complaint or notice does not guarantee that content will be removed, restricted, edited, or modified. Pachu may decline to remove content where we believe it does not violate these Terms or applicable law, or where removal is not legally required.
10.5 Repeat Violations
We may suspend or terminate accounts that repeatedly or seriously violate these Terms, infringe rights, post unlawful or harmful content, manipulate the Services, or engage in abusive conduct.
10.6 User Blocking and Safety Measures
To help protect users and maintain a safe community, we may provide or manually implement tools to block, restrict, mute, hide, limit, or otherwise reduce interactions between users. We reserve the right to investigate and take enforcement action against users we consider abusive, harmful, fraudulent, or unsafe.
10.7 Appeals
Where we make a moderation or enforcement decision, we may provide an appeal or review process at our discretion or where required by applicable law. We are not required to provide an appeal process in every case.
11. Intellectual Property Rights of Pachu
11.1 Pachu Ownership
The Services, including all software, source code, object code, designs, interfaces, graphics, logos, trademarks, service marks, trade names, branding, icons, text, features, functionality, databases, recommendation systems, ranking systems, algorithms, models, workflows, know-how, and other materials, are owned by Pachu or its licensors and are protected by intellectual property and other laws.
11.2 Limited Right to Use
Subject to your compliance with these Terms, Pachu grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely for your personal, non-commercial use, unless otherwise agreed by us in writing.
11.3 No Transfer of Rights
Except for the limited right expressly granted above, no rights, title, or interest in or to the Services or Pachu’s intellectual property are transferred to you.
11.4 Feedback
If you provide suggestions, ideas, feedback, bug reports, feature requests, improvements, or other comments regarding the Services (“Feedback”), you grant Pachu a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, transferable, and sublicensable right to use, exploit, reproduce, modify, distribute, display, and otherwise commercialize such Feedback without restriction or compensation to you.
12. Third-Party Services, Links, APIs, and Platforms
12.1 Third-Party Services
The Services may include, rely on, integrate with, link to, or display content, data, maps, listings, photos, reviews, reservation tools, delivery tools, payment tools, analytics tools, authentication tools, infrastructure, or other services provided by third parties.
12.2 No Responsibility for Third Parties
Pachu does not control and is not responsible for third-party websites, services, platforms, APIs, tools, content, policies, availability, accuracy, security, or practices. Your use of third-party services may be governed by separate terms and policies of those third parties.
12.3 Third-Party Failures
Pachu is not liable for any loss, harm, error, outage, delay, data issue, incorrect information, failed reservation, failed payment, incorrect map result, broken link, unavailability, or other damage caused by or related to third-party services, APIs, platforms, providers, or systems.
12.4 App Stores and Device Platforms
If you access the Services through Apple, Google, or any other app store, device, or platform, your use may also be subject to the applicable third-party terms, rules, and policies of that platform. Such third parties are not responsible for the Services, except as may be required by their own terms or applicable law.
13. Notifications and Communications
13.1 Service Communications
We may send you service-related communications, such as account notices, security alerts, administrative messages, changes to the Services, legal notices, or other non-marketing communications related to your use of the Services.
13.2 Push Notifications
The Services may offer push notifications or in-app notifications related to account activity, social activity, recommendations, reminders, updates, or other features. You may manage push notifications through your device settings or through available in-app settings where provided.
13.3 Marketing Communications
Marketing or promotional communications, if any, will be handled in accordance with applicable law and any consent or opt-out mechanism required by law.
14. Availability, Changes, and Beta Features
14.1 No Guarantee of Availability
The Services may be interrupted, delayed, unavailable, inaccurate, or discontinued from time to time. Pachu does not guarantee uninterrupted, error-free, secure, timely, or continuous access to the Services.
14.2 Changes to the Services
We may modify, update, suspend, restrict, replace, remove, discontinue, or terminate any part of the Services, features, content, functionality, design, ranking method, recommendation method, algorithm, availability, or access at any time, with or without notice and without liability.
14.3 Beta and Experimental Features
Certain features may be offered as alpha, beta, experimental, early-access, test, or preview features. Such features may be unstable, incomplete, inaccurate, unavailable, or subject to change or removal at any time. You use such features at your own risk.
15. Account Deletion and Content After Account Closure
15.1 Account Deletion
You may request deletion of your account through the available account settings or by contacting us, subject to the functionality available in the Services and applicable law.
15.2 Effect of Account Deletion
Upon account deletion, Pachu may remove, anonymize, de-identify, restrict, or retain certain account-related information and content in accordance with applicable law, our Privacy Policy, legitimate operational needs, technical limitations, legal obligations, dispute-resolution needs, security requirements, and the integrity of the Services.
15.3 User Content After Account Deletion
You acknowledge that certain User Content you submitted before account deletion may remain visible, retained, anonymized, de-identified, or dissociated from your personal profile where necessary or appropriate for the ordinary operation, integrity, continuity, security, or legal protection of the Services, subject to applicable law and our Privacy Policy.
Pachu may, at its discretion and subject to applicable law, remove or anonymize your name, profile image, profile identifiers, or other account-level attribution from User Content after account deletion.
15.4 Copies and Third-Party Sharing
Account deletion may not remove copies of User Content that other users or third parties have copied, saved, downloaded, screenshotted, shared, cached, indexed, or otherwise stored outside the Services.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PACHU DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, PACHU DOES NOT WARRANT, REPRESENT, OR GUARANTEE THAT:
THE SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY, ERROR-FREE, OR AVAILABLE;
ANY INFORMATION, VENUE DATA, REVIEW, RATING, RECOMMENDATION, RANKING, SCORE, MAP, LINK, OR OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, LAWFUL, OR SUITABLE;
ANY DEFECTS OR ERRORS WILL BE CORRECTED;
THE SERVICES WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS;
ANY USER, VENUE, BUSINESS, RESTAURANT, THIRD PARTY, OR REAL-WORLD EXPERIENCE WILL BE SAFE, SATISFACTORY, LAWFUL, AVAILABLE, OR SUITABLE; OR
THE SERVICES WILL BE FREE OF VIRUSES, MALWARE, HARMFUL COMPONENTS, SECURITY VULNERABILITIES, OR OTHER HARMFUL MATERIALS.
YOU USE THE SERVICES AT YOUR OWN RISK.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PACHU, ITS FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, REPRESENTATIVES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, DATA, USE, REPUTATION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:
YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES;
ANY USER CONTENT, REVIEW, RATING, PHOTO, VIDEO, COMMENT, OR EXPERIENCE;
ANY VENUE, RESTAURANT, BUSINESS, THIRD-PARTY SERVICE, OR REAL-WORLD INTERACTION;
ANY RECOMMENDATION, RANKING, SEARCH RESULT, SCORE, PERSONALIZATION, OR AI-ASSISTED OUTPUT;
ANY INACCURATE, INCOMPLETE, OUTDATED, MISLEADING, OR UNAVAILABLE INFORMATION;
ANY UNAUTHORIZED ACCESS, SECURITY INCIDENT, INTERRUPTION, ERROR, BUG, OR TECHNICAL FAILURE;
ANY CONDUCT OR CONTENT OF ANY USER, BUSINESS, VENUE, OR THIRD PARTY; OR
ANY OTHER MATTER RELATING TO THE SERVICES,
EVEN IF PACHU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PACHU’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO PACHU, IF ANY, DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) 100 NEW ISRAELI SHEKELS (NIS 100).
NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY TO THE EXTENT SUCH LIMITATION OR EXCLUSION IS PROHIBITED BY APPLICABLE LAW.
18. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Pachu, its founders, officers, directors, employees, contractors, service providers, licensors, representatives, and agents from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
your access to or use of the Services;
your User Content;
your reviews, ratings, photos, videos, comments, recommendations, or other submissions;
your violation of these Terms or any applicable policy;
your violation of any applicable law, regulation, or court order;
your violation, infringement, or misappropriation of any third-party right, including intellectual property, privacy, publicity, confidentiality, contractual, property, or other rights;
any allegation that your User Content caused harm, damage, defamation, infringement, loss, or liability to any person, business, venue, restaurant, or third party;
your interaction with any user, business, restaurant, venue, or third party; or
your fraud, negligence, willful misconduct, or misuse of the Services.
Pachu reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims. You may not settle any claim without our prior written consent if the settlement imposes any obligation, admission, liability, or restriction on Pachu.
19. Release
To the maximum extent permitted by applicable law, you release Pachu and its founders, officers, directors, employees, contractors, service providers, licensors, representatives, and agents from any and all claims, demands, liabilities, damages, losses, costs, and expenses arising out of or related to:
disputes between you and any other user;
disputes between you and any restaurant, venue, business, or third party;
any real-world experience, visit, reservation, purchase, order, service, product, or interaction;
any User Content, review, rating, recommendation, or information provided by another user or third party; and
any reliance on the Services or information made available through the Services.
20. Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PACHU AGREE THAT ANY DISPUTE, CLAIM, OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS.
YOU AND PACHU AGREE NOT TO BRING, PARTICIPATE IN, OR SEEK TO RESOLVE ANY DISPUTE AS A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.
IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE IN WHOLE OR IN PART, THE REMAINING PROVISIONS OF THESE TERMS SHALL CONTINUE TO APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
21. Governing Law and Jurisdiction
These Terms and any dispute, claim, or proceeding arising out of or relating to these Terms, the Services, or your use of the Services shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict-of-law principles.
Subject to applicable law, you and Pachu agree that the competent courts located in Tel Aviv-Yafo, Israel shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the Services.
22. Changes to These Terms
We may update, modify, or replace these Terms from time to time. If we make material changes, we may provide notice through the Services, by email, or by other reasonable means.
The updated Terms will become effective on the date indicated in the updated version, unless otherwise stated. Your continued access to or use of the Services after the effective date of the updated Terms constitutes your acceptance of the updated Terms.
If you do not agree to the updated Terms, you must stop using the Services and may delete your account, subject to these Terms and applicable law.
23. Termination of the Services
We may suspend, discontinue, restrict, or terminate all or any part of the Services at any time, with or without notice and without liability, subject to applicable law.
Upon termination of your access or account, your right to use the Services will immediately cease. Sections that by their nature should survive termination shall survive, including provisions relating to User Content licenses, intellectual property, disclaimers, limitation of liability, indemnification, release, governing law, jurisdiction, and general legal terms.
24. General Legal Terms
24.1 Severability
If any provision of these Terms is found to be unlawful, invalid, void, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
24.2 No Waiver
No failure or delay by Pachu in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy.
24.3 Assignment
You may not assign, transfer, or delegate these Terms or any rights or obligations under them without our prior written consent. Pachu may assign, transfer, or delegate these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, sale of assets, financing, change of control, or operation of law.
24.4 Entire Agreement
These Terms, together with any policies or additional terms referenced herein, constitute the entire agreement between you and Pachu regarding the Services and supersede any prior or contemporaneous agreements, understandings, or communications regarding the Services.
24.5 Headings
Section headings are for convenience only and have no legal or contractual effect.
24.6 Force Majeure
Pachu shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, internet failures, power outages, cyberattacks, epidemics, natural disasters, government actions, third-party service failures, platform restrictions, or other events beyond our reasonable control.
24.7 Language
These Terms may be made available in multiple languages. Unless otherwise required by applicable law, in the event of any conflict or inconsistency between versions, the English version shall prevail.
